Terms and Conditions
Last updated: August 29, 2026
These Terms and Conditions ("Terms") govern your use of moondustusa.com (the "Site") and the purchase of products from MoonDust ("MoonDust," "we," "us," or "our"). By using the Site, requesting a quote, or placing an order, you agree to these Terms. If you do not agree, do not use the Site or order from us.
These Terms incorporate our Privacy Policy, Cookie Policy, Acceptable Use Policy, and Website Disclaimer.
1. Business-to-Business Sales Only
MoonDust sells on a wholesale, business-to-business basis. By ordering, you represent and warrant that you are at least 21 years of age, that you are purchasing on behalf of a business for commercial resale or use rather than as a consumer, and that you have authority to bind that business to these Terms. We may request documentation supporting any of these representations and may decline or cancel any order if it is not provided.
2. Our Products
MoonDust manufactures and supplies unfilled paper goods and packaging components, including pre-rolled cones, pre-rolled tubes, and blunt wraps. We do not manufacture, sell, distribute, or broker cannabis, hemp, tobacco, nicotine, or any other consumable or controlled substance, and our products are sold empty and unfilled.
3. Regulatory Compliance Is Your Responsibility
The laws governing the sale, possession, filling, labeling, and distribution of smoking accessories and related products vary widely by country, state, and locality, and change frequently. You are solely responsible for:
- Determining whether our products may lawfully be purchased, imported, possessed, filled, labeled, marketed, and resold in every jurisdiction in which you operate.
- Obtaining and maintaining every license, permit, registration, and bond your operations require.
- Complying with all packaging, labeling, child-resistance, testing, tax, and reporting obligations applicable to your finished goods.
- Ensuring that any artwork or claims you apply to products comply with applicable advertising and marketing law.
MoonDust does not provide legal or regulatory advice, and nothing on the Site or in any communication from us should be relied on as such. We may refuse or cancel any order we believe may involve unlawful use.
4. Quotes, Orders, and Acceptance
Product listings, catalogs, and quotes are invitations to do business, not binding offers. Quotes are valid for the period stated on the quote, or 30 days if no period is stated, and are subject to change on raw material cost movements, freight rate changes, and currency fluctuation.
An order becomes binding only when we issue a written order confirmation or begin production, whichever comes first. We reserve the right to refuse or limit any order for any lawful reason, including credit concerns, suspected fraud, pricing or description errors, or capacity constraints.
5. Pricing, Taxes, and Payment
- Prices are quoted in U.S. dollars and exclude taxes and duties unless expressly stated otherwise.
- You are responsible for all sales, use, excise, VAT, customs duties, and similar charges, other than taxes on our net income. If you claim an exemption, you must supply a valid exemption certificate before shipment.
- Payment terms are as stated on the quote, order confirmation, or invoice. Unless we have extended credit terms in writing, payment is due in full before production or shipment.
- Late balances may accrue interest at the lesser of 1.5% per month or the maximum permitted by law, and we may recover reasonable costs of collection, including attorneys' fees.
- We may suspend production or delivery on any order while any balance on your account is past due.
- You may not withhold or offset any payment on account of a disputed item without our written agreement.
Pricing on the Site may contain errors. Where a product is listed at an incorrect price, we may cancel the order and refund any amount paid, whether or not the order has been confirmed.
6. Custom and Branded Orders
Custom orders are made to your specification and are subject to additional terms:
- Artwork approval. Production begins only after you approve a digital proof in writing. You are responsible for checking spelling, dimensions, color references, barcodes, and regulatory text. We are not liable for errors present in approved artwork.
- Color and material variation. Printed colors will vary from what appears on a screen or a digital proof. Paper is a natural material and shade, texture, and opacity vary between production runs. Reasonable variation is not a defect.
- Quantity tolerance. Manufacturing tolerances apply. We may deliver and invoice up to 10% above or below the ordered quantity, and delivery within that range constitutes full performance.
- Tooling and plates. Any tooling, dies, or printing plates we produce remain our property unless agreed otherwise in writing.
- Cancellation. Once artwork is approved and production has begun, custom orders cannot be cancelled or returned, and deposits are non-refundable. If we agree to a cancellation, you remain responsible for materials consumed and work performed to that point.
- Lead times. Stated lead times are estimates measured from artwork approval and receipt of cleared payment, not from order placement.
7. Shipping, Title, and Risk of Loss
Unless agreed otherwise in writing, shipments are made Ex Works or FOB our shipping point. Title and risk of loss pass to you when the goods are delivered to the carrier. Delivery dates are estimates only, and we are not liable for delays caused by carriers, customs, weather, or other factors outside our reasonable control.
You are the importer of record for international shipments and are responsible for duties, customs clearance, and compliance with import requirements. If you arrange your own freight, our responsibility ends at the point of loading.
8. Inspection, Shortages, and Claims
You must inspect all shipments promptly on arrival. Claims for shortages, visible damage, or non-conformity must be made in writing within 10 business days of delivery, with photographs, lot or batch identifiers, and a description of the issue. Damage visible at delivery should also be noted on the carrier's delivery receipt.
Claims made after this period are waived. Do not return, discard, or rework goods without our written authorization; unauthorized returns will not be credited. Where a claim is valid, our obligation is limited to replacing the non-conforming goods or issuing a credit or refund for them, at our option.
9. Returns
Stock items may be returned only with a written return authorization issued within 30 days of delivery, in original unopened packaging, in resalable condition. Return freight is your responsibility and a restocking fee may apply. Custom and branded goods are not returnable.
10. Limited Warranty and Disclaimer
We warrant that products will conform in all material respects to the specifications set out in the accepted order at the time of delivery. This warranty does not cover damage or non-conformity arising from improper storage, humidity or temperature exposure, mishandling, machine settings or filling equipment, modification, or use outside the product's intended purpose.
Except as expressly stated in this section, products are provided "as is" and MoonDust disclaims all other warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, and non-infringement. You are responsible for testing and qualifying products for your own application and equipment before committing to a production run. We recommend requesting samples for this purpose.
11. Intellectual Property
All content on the Site β including text, product photography, sizing charts, graphics, layout, and the MoonDust name and logo β is owned by MoonDust or its licensors and protected by intellectual property law. You may not copy, reproduce, distribute, or create derivative works from it without our written permission.
You retain ownership of artwork and brand assets you supply. You grant us a license to use them as needed to quote, proof, produce, and ship your order, and to keep production records. You represent that you hold all rights necessary to those assets, and you agree to indemnify MoonDust against any claim that our production of your artwork infringes a third party's intellectual property rights.
12. Acceptable Use
Your use of the Site is subject to our Acceptable Use Policy. Violation of that policy is a breach of these Terms.
13. Confidentiality
Each party may receive non-public information from the other, including pricing, specifications, artwork, and business plans. Each party agrees to use such information only for the purpose of the commercial relationship and to protect it with at least reasonable care. This does not apply to information that is public, independently developed, or required to be disclosed by law.
14. Limitation of Liability
To the fullest extent permitted by law, MoonDust will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, loss of goodwill, regulatory penalties, or the cost of substitute goods, arising out of or related to these Terms, the Site, or any product, whether based in contract, tort, strict liability, or any other theory, even if advised of the possibility of such damages.
Our total aggregate liability arising out of or related to any order will not exceed the amount you paid to us for the specific goods giving rise to the claim.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot lawfully be limited.
15. Indemnification
You agree to indemnify, defend, and hold harmless MoonDust and its officers, directors, employees, and agents from any claim, demand, loss, liability, penalty, or expense, including reasonable attorneys' fees, arising out of your breach of these Terms, your artwork or content, your filling, labeling, marketing, or resale of the products, your failure to hold required licenses, or your violation of any law or third-party right.
16. Force Majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, fire, flood, epidemic, war, civil unrest, labor disputes, raw material shortages, utility or transportation failures, port congestion, cyberattack, or acts of government including tariffs, embargoes, and changes in law.
17. Term and Termination
We may suspend or terminate your access to the Site, and refuse further orders, at any time for breach of these Terms or where we reasonably suspect unlawful or fraudulent activity. Sections concerning payment, intellectual property, warranty disclaimers, limitation of liability, indemnification, confidentiality, and governing law survive termination.
18. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute will be brought exclusively in the state or federal courts located in Harris County, Texas, and each party consents to the jurisdiction of those courts and waives any objection to venue.
19. Entire Agreement and Order of Precedence
These Terms, together with any written quote and order confirmation, constitute the entire agreement between the parties and supersede all prior discussions. Any terms in your purchase order, vendor portal, or other document that add to or conflict with these Terms are rejected and have no effect unless we accept them in a signed writing. If any provision is found unenforceable, the remainder stays in effect.
20. Assignment and Waiver
You may not assign your rights or obligations without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver of our right to enforce it later.
21. Changes to These Terms
We may revise these Terms at any time. The revised version takes effect when posted to this page, and the "Last updated" date above will reflect the change. The version in effect on the date we confirm your order governs that order.
